These Terms of Service ("Terms") govern your access to and use of the Find Assign website and mobile application (the "Site"), operated by Andey Media Technologies Pvt. Ltd., registered at Link Road, Andheri West, Mumbai, Maharashtra, India. These Terms apply to all users of the Site, including businesses, freelancers, and agencies who access and use the services provided by Find Assign. By using the Site, you agree to comply with and be bound by these Terms, along with our Privacy Policy, found here, and any additional policies, guidelines, or disclaimers we may provide on the Site.

Please read these Terms carefully before using the Site. If you do not agree to these Terms, you must not use the Site. For questions or clarifications, please contact our customer support team available 24/7 via contact page.

1. General Terms

Eligibility

The Site is available only to users who are at least 18 years old or are legally capable of entering into binding contracts under Indian law. If you are under 18, you may only use the Site with the permission of a parent or legal guardian. By using the Site, you represent and warrant that you meet the eligibility requirements.

Compliance with Laws

By accessing the Site, you agree to comply with all applicable laws, including those of India, and agree not to violate any trade sanctions or restrictions imposed by Indian authorities or other jurisdictions.

2. Key Definitions

Freelancer/Seller: A user who offers services on Find Assign, including creative, digital marketing, web design, video production, etc.

Buyer: A user who purchases services or hires freelancers via the Site.

Service: Any offering by a Freelancer on Find Assign, which can include a range of business, marketing, creative, and professional services.

Gig/Service Page: A page on the Site where a Freelancer can describe their service offering and the terms under which it is provided.

Order: A formal agreement between a Buyer and a Freelancer to carry out a service.

Subscription Fee: A monthly fee paid by users to access Find Assign's platform and its services, which can vary based on the chosen subscription plan.

3. Overview (Main Terms in a Nutshell)

3.1 Registration & Account

Only registered users may access and engage in transactions on Find Assign. When registering an account on the Platform, you agree to:

Provide accurate, complete, and updated information regarding your business or personal details. Failure to update such information may result in the suspension or termination of your account.

Not create an account for fraudulent, illegal, or misleading purposes.

Maintain the confidentiality and security of your login credentials (username and password). You are solely responsible for any activities that occur under your account, whether or not authorized by you.

Inform us immediately of any unauthorized use or breach of security regarding your account.

The Company is not liable for any loss or damage arising from your failure to comply with the above obligations.

3.2 Seller Pricing & Service Listing

Sellers on Find Assign have the ability to set their own pricing for the services they offer. Sellers must comply with the Platform's rules and policies while listing services. Services may include the option of offering various packages, and each service may have a base subscription fee or commission percentage:

Subscription Fees for Sellers: Sellers must pay a subscription fee of ₹2800 per month to access the Platform's services, which provides the ability to list services and manage orders.

Platform Fees: The Platform charges a 12% fee on transactions paid by the Buyer and 18% fee on successful transactions paid to the Seller. The fee structure is subject to change based on promotional offers, discounts, and any platform adjustments. All applicable GST, taxes, and payment processing fees are additional.

3.3 Payment Terms & Billing

Subscription Fees & Commission: All payments for subscription fees and commissions will be processed via the Platform’s payment gateway. Sellers agree to pay the applicable monthly subscription fees and the percentage-based commission per transaction as per the agreed terms.

Invoices: Invoices for services and subscription fees will be generated and made available in the Seller’s account. Sellers are responsible for keeping track of all transactions made through the Platform.

Changes to Fees: The Platform may adjust subscription costs, transaction fees, and commission rates based on business needs, promotions, or offers. Users will be notified in advance of any such changes.

3.4 Order Fulfillment & Cancellation

Sellers are required to fulfill orders as per the terms specified during the order creation process. Sellers may not cancel orders on a regular basis or without cause. Order cancellations may negatively affect the Seller's account standing and reputation.

Sellers gain account levels based on their performance metrics, including but not limited to completed orders, ratings, and customer satisfaction. See the "Account Levels" section for more details.

3.5 Payment Methods & Transactions

Users are required to use Find Assign’s payment system to handle all transactions. Users may not accept or offer payments using any methods other than through the Platform, including but not limited to direct transfers, external payment processors, or cash payments.

Buyers are required to prepay for services through the Platform before an order is officially placed.

Sellers must receive payment only through the Platform, subject to commission deductions.

3.6 Work Contracts & Templates

The Platform provides functionality for both Buyers and Sellers to generate and sign work contracts directly through the website. Please note that the content of these contracts is the sole responsibility of the Buyer and Seller. Find Assign provides contract templates as a service, but is not liable for the terms or conditions of any contract formed between Buyer and Seller.

Contract Templates: The platform offers a range of customizable contract templates to help Buyers and Sellers formalize their transactions. These templates are provided for convenience but must be reviewed and adjusted by users to meet their specific needs.

3.7 Virtual Desktop/PC Services

Find Assign offers a Virtual Desktop/PC feature, which is charged separately. The cost for the Virtual Desktop will depend on the plan selected and the level of usage. Buyers and Sellers can access this service based on their specific requirements, and the charges will be billed accordingly.

4. Sellers

4.1 Basics of Selling on Find Assign

Subscription Fee: Sellers are required to pay a monthly subscription fee of ₹2800 to maintain their listings and access the platform.

Commission Fees:

Seller Platform Fee: The seller incurs an 18% platform fee on each completed transaction, calculated based on the total amount paid by the buyer.

Additional Charges: GST, taxes, and payment processing fees are extra and are applicable as per the prevailing rates.

Variation in Fees: Both subscription fees and commission percentages may vary based on platform promotions, discounts, or the use of promo codes or offers.

Contract Generation: Buyers and Sellers have the facility to generate and sign work contracts directly on the platform. These contracts are created based on provided templates, and both parties are responsible for ensuring the accuracy and legality of the contract content. The platform only provides contract templates.

4.2 Virtual Desktop/PC Charges

Sellers who wish to utilize the Virtual Desktop/PC feature will be charged separately based on the plan and usage. This feature enables users to access a virtual desktop, which can be used for managing projects and work-related tasks remotely.

The pricing structure for Virtual Desktop/PC will vary based on the level of service and usage, providing flexibility for different types of sellers and their specific needs.

4.3 Custom Offers

Custom Offers for Sellers: Sellers can create Custom Offers to meet specific buyer requests beyond the standard gig offerings. These offers allow sellers to propose tailored services, including unique pricing, delivery times, and other conditions that are mutually agreed upon by both the seller and the buyer.

Hourly Contracts: Sellers may also offer hourly contracts for buyers who require ongoing services. The hourly rate and expected hours are negotiated and agreed upon via Custom Offers.

Benefits for Sellers:

Sellers have the flexibility to negotiate terms, set pricing, and define their service delivery scope, giving them control over the transaction process.

Custom Offers and hourly contracts may lead to higher earnings as they cater to specific buyer needs, allowing for more personalized service offerings.

4.4 Gig Listings and Compliance

Gig Creation: Sellers can create gigs (service listings) to showcase their offerings, and the number of active gigs they can post depends on their account level and platform eligibility.

Gigs should be related to the services they are offering and must comply with platform policies, including avoiding illegal, fraudulent, or adult content.

All gig content, including images and descriptions, must accurately reflect the service provided. Sellers are expected to deliver the quality shown in their gig listings.

Gig Removal: Gigs can be removed if they violate platform guidelines, including but not limited to illegal services, misleading claims, low-quality service delivery, or non-compliance with intellectual property regulations.

Once removed, gigs cannot be restored, and repeated violations may result in the suspension or permanent deactivation of the seller's account.

Gig Rating and Seller Level: Seller ratings are determined by buyer reviews and performance. Higher ratings can lead to seller account upgrades, while poor ratings may result in account suspension. Maintaining high standards and consistent service delivery is crucial for advancing seller levels.

4.5 Milestones and Subscription Gigs

Project Milestones: Sellers offering higher-priced gigs (over ₹7,500) may divide their services into multiple project milestones. Each milestone is a stage of the service to be delivered, with payments occurring separately for each phase. Sellers must ensure timely delivery and communication with buyers for each milestone.

Gig Subscription: Sellers can offer Gig Subscriptions for recurring services. This allows buyers to subscribe to a gig for a fixed term, during which the seller delivers one order of the same service on a regular basis.

Buyers can cancel their subscription before any payment is made for future orders.

Sellers may cancel the subscription with a 10-day notice before the next order is due.

4.6 Seller Features and Benefits

Custom Offers & Hourly Contracts: Sellers can negotiate directly with buyers by sending Custom Offers or Hourly Contracts. This gives sellers more flexibility in setting pricing, delivery terms, and service scope, enabling them to better meet buyer needs.

Project Management Tools: Sellers can manage projects more effectively through the platform’s project management features, which include communication tools, document sharing, and milestone tracking.

Virtual Office Solutions: Sellers who choose to use virtual office features have access to a variety of productivity tools, including project management systems, time tracking, and invoicing solutions, all included in their subscription plan. These tools are especially useful for freelancers or businesses managing multiple clients.

5. Buyers

5.1 Basics

Buyers on the platform can browse through various Gigs created by Sellers and select the services they wish to purchase. Once a Buyer selects a service, they can communicate directly with the Seller to clarify any queries, discuss project details, or negotiate on price and terms.

The Buyer will be required to pay the total cost of the service upfront, which includes the cost of the service plus any applicable platform fees. The payment is held in escrow by the platform until the Seller successfully completes the task and the Buyer approves the delivery. Once the delivery is approved, the funds are released to the Seller, minus the platform's commission fees. The Buyer is responsible for ensuring that the terms of service are met according to the Gig description or Custom Offer agreed upon with the Seller.

5.2 Platform Fees

Buyers are subject to a 12% platform fee on every transaction, which is applied to the total service cost paid to the Seller. This fee is automatically deducted from the total payment and is non-refundable. The platform fee is meant to cover the operational costs of maintaining the platform, providing payment processing, customer support, and ensuring that the marketplace remains secure and reliable.

5.3 GST, Taxes, and Payment Processing Fees

In addition to the platform fees, GST, applicable taxes, and payment processing fees will be charged as per the laws in the Buyer's location. These additional fees are calculated and displayed during the checkout process. Buyers must confirm the final amount before proceeding with payment. Payment processing fees may vary depending on the payment method selected (credit card, bank transfer, etc.).

5.4 Payment Methods

Buyers can choose from various payment methods available on the platform, including credit/debit cards, net banking, or digital wallets. Once payment is made, the system will confirm the transaction, and the order will be recorded as active. Payments are held securely by the platform in an escrow account until the Seller completes the service.

5.5 Contracts and Agreements

The platform allows Buyers to generate and sign work contracts directly on the portal, providing an extra layer of security and professionalism for the transactions. These contracts will define the scope of work, deadlines, and payment terms. It is important to note that the contract content is the sole responsibility of the Buyer and Seller, and the platform only provides templates for creating contracts.

While the platform makes it easier for both parties to create legally binding agreements, it is recommended that Buyers and Sellers review the terms carefully and consult legal professionals for complex contracts.

5.6 Subscription and Gig Renewals

Buyers can opt for recurring subscriptions for certain services where Sellers offer to deliver the same service on a periodic basis (e.g., monthly, quarterly). This option ensures that the Buyer will receive continuous service without the need to manually reorder each time. The terms of the subscription, including delivery schedule, pricing, and any cancellation policies, will be clearly outlined in the Gig Subscription agreement.

Buyers may cancel future subscriptions before payment is made, but once payment is made for a specific period, cancellation will follow the Order Cancellation Policy outlined in the Payment Terms.

5.7 Ratings and Feedback

After receiving the completed service, Buyers can rate the Seller's work and leave feedback. The feedback system is essential for maintaining transparency in the marketplace and helps other Buyers make informed decisions. Higher ratings can lead to Sellers being promoted to higher levels on the platform, offering them better visibility and access to new features.

If a Buyer is dissatisfied with the work completed, they may request revisions or open a dispute resolution process. The platform will mediate the issue, ensuring a fair solution for both parties.

5.8 Dispute Resolution

If a Buyer is not satisfied with the delivered work or encounters issues, they can initiate a dispute resolution process. The platform will mediate between the Buyer and the Seller, reviewing the work delivered against the terms of the agreement.

In cases where the Buyer and Seller cannot come to an agreement, the platform’s customer support team may step in and provide guidance to help resolve the issue. If a resolution cannot be found, the Buyer may be eligible for a partial or full refund depending on the circumstances, subject to the platform's refund policy.

5.9 Buyer Protection

The platform offers Buyer protection to ensure that Buyers are not exposed to unfair practices or subpar services. If the Buyer has paid for a service and the Seller fails to deliver it as promised, the platform will work to resolve the issue, including the possibility of issuing refunds or facilitating alternate arrangements.

5.10 Buyer’s Responsibilities

Buyers must ensure that they provide accurate and complete information when making a purchase. This includes sharing detailed requirements and expectations with the Seller to avoid any miscommunication or misunderstandings. Additionally, Buyers must be prompt in responding to messages and maintaining communication with the Seller to ensure that the project moves forward smoothly.

It is also the responsibility of the Buyer to review the service contract and agree to all terms before proceeding with payment. The Buyer should notify the Seller if there are any issues with the service once it is delivered and ensure that the terms of the agreement are met.

8. User Conduct and Protection

Find Assign provides a platform for buyers and sellers to connect and collaborate on a wide range of services. Our goal is to maintain a professional, respectful, and trustworthy environment for all users. We expect users to adhere to this ethos when interacting with one another and utilizing the platform.

Orders

6.1 Basics

Once payment is confirmed, your Order will be created. For Hourly Contracts, an Order will be created once the payment of the Order Initiation Fee is confirmed.

An Order is marked as Complete after it is marked as “Delivered” and accepted by the Buyer. If the Buyer does not respond within 3 days of the Order being marked as “Delivered” (without requesting any modifications), it will automatically be marked as Complete. The Buyer can extend this period by up to 5 additional days.

For Hourly Contracts, a Weekly Report will be automatically marked as Complete if not disputed within 72 hours after charging the Client's payment method.

Orders through specific tools, like a Logo Maker, will be considered Complete once payment is made by the Buyer.

For Orders with milestones, a milestone is marked as Complete once delivered by the Seller and accepted by the Buyer. If no acceptance or modification request is submitted within 8 days, the milestone will be marked as Complete, and the Order will stop. The next milestone will not start if the Buyer does not pay within 10 days. Buyers have the option to either continue the Order or stop it once a milestone is completed. Stopping future milestones does not cancel the current milestone.

Buyers may opt for a Gig Subscription (if available on the Seller’s Gig Page). In this case, a new Order of the same Gig will be created on a recurring basis, as agreed by the Buyer and Seller. The payment will be processed automatically, but if a payment fails, future Orders will be canceled. Sellers can cancel future Orders under the subscription with a 10-day notice before the next consecutive Order.

For local services, where Buyers and Sellers meet in person to perform the service, Find Assign does not guarantee the behavior, conduct, or safety of either party. Both parties are responsible for their interactions, and any local services provided are not covered under Find Assign’s liability policies. Buyers should have insurance if the service is performed at their premises.

6.2 Handling Orders

When a Buyer places an Order, the Seller is notified by email and through notifications on the platform. Sellers are expected to meet the delivery time they specified when creating their Gigs or Custom Offers. If a delivery is late, the Buyer can cancel the Order, which may affect the Seller's reputation.

Sellers must send completed files or proof of work when marking the Order as Delivered. Using the “Deliver Work” button to bypass the guidelines will result in the cancellation of the Order after review and could harm the Seller’s rating.

Buyers are encouraged to scan all transferred files for viruses or malware, as Find Assign is not responsible for any damages caused by the use of transferred files.

If the delivered work does not meet the agreed requirements, the Buyer may request revisions via the "Request Revisions" feature located on the Order page.

6.3 Reviews

Reviews provided by Buyers are crucial for the Find Assign rating system. Reviews will only be removed if they violate Find Assign's Terms of Service. To prevent misuse, reviews must come from legitimate Orders. Purchases made solely for rating purposes or to manipulate the review system will result in account suspension.

Withholding the delivery of files or information to gain favorable reviews or additional services is prohibited. Sellers may not request the removal of reviews through mutual cancellations.

Once both Seller and Buyer have submitted their reviews or the review period has passed, the feedback will be made public. Work Samples (images and videos) from completed work may be shared in the Seller’s Gig gallery if the Buyer agrees to make them public during the feedback process.

7. User Conduct and Protection

Find Assign empowers users to create, share, and sell services globally. We maintain a community-driven environment with a professional and respectful approach. This section details the expected conduct when engaging with the platform.

If you encounter any violations of our terms, user misconduct, or need assistance with your account, please contact our support team.

7.1 Basics

Requesting or providing personal contact details (such as email addresses, phone numbers, or third-party messaging information) to circumvent Find Assign's messaging system is strictly prohibited.

Any personal information required for completing services should be shared within the platform’s secure system. We do not offer guarantees regarding the quality of services provided by other users; any concerns can be addressed via our dispute resolution tools.

Find Assign does not provide protection for interactions occurring outside the platform. All exchanges, including files and information, must be conducted through the platform to ensure privacy and safety.

Rude, abusive, or inappropriate language, as well as threatening or violent messages, will not be tolerated and may result in account suspension or removal.

Users must respect others and refrain from discrimination based on gender, race, age, religion, sexual orientation, or any other status. Discrimination can lead to suspension or removal of accounts.

Users are prohibited from soliciting business transactions outside of Find Assign after being introduced through the platform.

7.2 Orders

Users who place orders to undermine or harm competing services will have their reviews removed or may face further action by our Trust & Safety team.

Users should avoid spamming or attempting to alter reviews, cancel orders, or make unreasonable demands not in line with our policies on order cancellation or feedback.

7.3 Gigs & Seller Page

Sellers must ensure that the content they offer through their services, Gig Pages, and Seller Pages is original and free from infringement on third-party rights (including copyrights, trademarks, etc.). If external media, such as stock footage or music, is used, sellers must hold valid licenses for such materials.

Users can report Gigs suspected of violating Find Assign’s terms, especially if they replicate other services. Our team will review these reports promptly.

7.4 Reporting Violations

If you come across content that violates our terms or community guidelines, please report it to Find Assign through the provided channels. Our Trust & Safety team will handle all reports with care. Misuse of our reporting system may lead to account restrictions or permanent suspension.

7.5 Violations

Users who breach our terms or engage in misconduct may receive an account warning. A warning will be issued via email and displayed on the user’s account. Repeated violations may lead to account suspension or permanent removal.

Actions taken against a user or their content will be explained through email, and users can request a review of the decision. For more information, see our Notices and Appeals section.

Non-Permitted Usage

Adult Services & Pornography: Find Assign does not allow the exchange of adult-oriented content or services.

Inappropriate Behavior & Language: Communication must remain professional and respectful. Harassment, bullying, and hate speech are strictly prohibited.

Phishing and Spam: Attempts to compromise a user's account or spread malicious content are not tolerated.

Privacy & Identity: Users may not post others' private or confidential information. Any personal information shared for service completion must be handled within the platform.

Authentic Profile: Users may not create false identities or misrepresent themselves. All profile information must be accurate and truthful. Find Assign may require verification through ID, phone, or other methods.

Intellectual Property Claims: Find Assign will address clear and complete notices of copyright or trademark infringement according to our Intellectual Property Claims Policy.

Fraud & Unlawful Use: Using the platform for illegal purposes, including circumventing trade sanctions, is strictly prohibited.

7.6 Disputes and Cancellations

We encourage users to resolve conflicts directly with each other using the Resolution Center. If resolution fails, our Customer Support team is available for assistance. For more details on disputes, cancellations, and refunds, please refer to our Payment Terms.

7.7 Content Moderation, Notices, and Appeals

Find Assign is not required to proactively monitor content, but we reserve the right to review and take action against content that violates our terms. If you disagree with any action taken, you may file a complaint through Customer Support. For more details on the complaints process, please refer to our Dispute Settlement policy.

7.8 Proprietary Restrictions

Find Assign owns the platform’s layout, design, content, and intellectual property. Users may not modify, copy, or reverse-engineer any part of the site or use unauthorized third-party software. Any attempt to interfere with the platform’s functioning will result in account suspension or other penalties.

8. User Generated Content (UGC)

User Generated Content ("UGC") refers to the content uploaded by users as opposed to content created by the Site. All content uploaded to the Site by our users (Buyers and Sellers) is User Generated Content. Find Assign does not proactively check UGC for appropriateness, violations of copyright, trademarks, other rights, or violations. The user uploading/creating such content shall be solely responsible for it and the consequences of using, disclosing, storing, or transmitting it.

By uploading to, or creating content on, the Site, you represent and warrant that you own or have obtained all rights, licenses, consents, permissions, power, and/or authority necessary to use and/or upload such content. You also confirm that such content or the use thereof on the Site does not and shall not:

(a) Infringe or violate any intellectual property, proprietary, privacy, data protection, or publicity rights of any third party;

(b) Violate any applicable local, state, federal, and international laws, regulations, and conventions; and/or

(c) Violate any of your or third party’s policies and/or terms of service.

We invite everyone to report violations, together with proof of ownership as appropriate. Violating content may be removed or disabled. To learn more about our reporting tools, please refer to the section on reporting guidelines.

8.1. Responsibility of Sellers and Service Quality

Find Assign is not responsible for the content, quality, or level of service provided by the Sellers (even if they are Top Sellers, Premium Sellers, or have other special statuses). We provide no warranty with respect to services on Find Assign, their delivery, any communications between Buyers and Sellers, or the services offered by Sellers. We encourage users to take advantage of our rating system, our community, and common sense when choosing appropriate services.

8.2. Seller’s Responsibility Regarding Permissions and Legal Compliance

By offering a Service, the Seller undertakes that they have sufficient permissions, rights, and/or licenses to provide, sell, or resell the service that is offered on Find Assign. Sellers advertising their services, including Gig Page, Seller Page, or other offerings, must comply with the laws and terms of service of the advertising platform or relevant website used to advertise. Failing to do so may result in the removal of the Gig or service offering, as applicable, and may lead to the suspension of the Seller's account.

For specific terms related to Intellectual Property rights and for reporting claims of copyright infringement or trademark infringement, please see our Intellectual Property Claims Policy, which forms an integral part of these Terms.

It is our policy, in appropriate circumstances, to disable and/or terminate the accounts of users who are repeat infringers.

9. Ownership

Ownership and limitations: When purchasing a service on Find Assign, unless clearly stated otherwise on the Seller's Gig page/description or in the Custom Offer, when the work is delivered, and subject to payment, the Buyer is granted all intellectual property rights, including but not limited to copyright in the work delivered by the Seller. The Seller waives any and all moral rights (to the extent permitted by applicable law) in such work. Accordingly, the Seller expressly assigns to the Buyer the copyright in the delivered work. All transfer and assignment of intellectual property to the Buyer shall be subject to full payment, and the delivery may not be used if payment is cancelled for any reason.

For clarity, in custom-created work (such as artwork, design work, reports, etc.), the delivered work and its copyright shall be the exclusive property of the Buyer. Upon delivery, the Seller agrees that they are assigning all right, title, and interest in and to the delivered work to the Buyer. Some Gigs (including custom-created work) may charge additional payments (through Gig Extras) for a Commercial Use License. This means that if the Gig is purchased for personal use, the Buyer will own all rights necessary for such use, without needing the Commercial Use License. However, if the Buyer intends to use it for business or profit-related purposes, they will need to buy the Commercial Use License through a Gig Extra to secure broader usage rights.

For Voice Over Gigs, when the work is delivered, and subject to payment, the Buyer purchases basic rights, which means the Buyer pays a one-time fee allowing them to use the work forever for non-commercial purposes. If the Buyer intends to use the Voice Over for promoting a product or service (excluding paid marketing channels), they will need to purchase the Commercial Rights (Buy-Out) through Gig Extras. If the Voice Over is intended for use in radio, television, or internet commercials, the Full Broadcast Rights (Buy-Out) should be purchased through Gig Extras.

9.1. Voice Over Commercial Buy-Out

When purchasing a Voice Over Service, the Seller grants the Buyer a non-commercial, perpetual, exclusive, non-transferable, worldwide license to use the purchased Voice Over. This excludes any commercial use, including radio, television, and internet commercial spots.

By purchasing a Commercial Rights (Buy-Out) with the Order, the Buyer receives additional rights to use the Voice Over for any commercial, promotional, or non-broadcast purposes for a period agreed upon with the Seller (unless otherwise agreed – in perpetuity). Commercial, promotional, and non-broadcast purposes include business-related uses for creating or promoting a for-profit product or service (excluding paid marketing channels), such as explainer videos, social media or email campaigns, audiobooks, and podcast intros. This excludes any illegal, immoral, or defamatory purposes.

By purchasing Full Broadcast Rights (Buy-Out) with the Order, in addition to Commercial Rights, the Buyer is granted the right to use the Voice Over for full broadcasting purposes, including TV, radio, and paid online platforms, such as television and radio commercials, internet radio, and streaming services. This excludes illegal, immoral, or defamatory uses.

This Buy-Out is subject to Find Assign’s Terms. There is no warranty, express or implied, regarding the fitness for a particular purpose. Neither the Seller nor Find Assign will be liable for any claims, incidental damages, or any other damages arising from this license, the delivery, or the Buyer’s use of the delivery.

9.2. Commercial Use License

By purchasing a "Commercial Use License" with the Order, the Seller grants the Buyer a perpetual, exclusive, non-transferable, worldwide license to use the purchased delivery for permitted commercial purposes. For the avoidance of doubt, the Seller retains all ownership rights. "Permitted Commercial Purposes" include any business-related use, such as advertising, promotions, creating web pages, integration into products or software, and other business-related tools, excluding any illegal, immoral, or defamatory purposes.

This License is subject to Find Assign’s Terms. There is no warranty, express or implied, with the purchase of this delivery, including with respect to fitness for a particular purpose. Neither the Seller nor Find Assign will be liable for any claims, incidental damages, or any other damages arising from this license, the delivery, or the Buyer’s use of the delivery.

9.3. Stock Media

For Gigs that include Stock Media in the delivered work via Gig Extras, the Stock Media license terms apply. Buyers are granted a license to use the delivered work containing Stock Media in accordance with these terms, which outline the permissible uses and restrictions associated with the Stock Media.

10. Disclaimer of Warranties

YOUR USE OF THE SITE, ITS CONTENT, AND ANY SERVICES OR ITEMS OBTAINED THROUGH THE SITE IS AT YOUR OWN RISK. THE SITE, ITS CONTENT, AND ANY SERVICES OR ITEMS OBTAINED THROUGH THE SITE ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, PROVIDED THAT WE HAVE ACTED WITH REASONABLE PROFESSIONAL DILIGENCE. 11. Deactivate and Disable Account

Find Assign reserves the right to put any account on hold or permanently disable accounts due to breach of the Terms, including low-quality services or deliveries, or due to any illegal or inappropriate use of the Site or services.

Violation of Find Assign's Terms may get your account permanently disabled.

Users with disabled accounts will not be able to sell or buy on Find Assign and related content may be removed. Please refer to the Terms, in particular the Content Moderation, Notices, and Appeals section, for your rights to object to our decisions, or contact our Customer Support team for more information surrounding the violation and status of your account.

Users may also deactivate their account with Find Assign at any time from their account settings. Users that deactivate their account will still be responsible for any outstanding payment obligations. Any provisions of the Terms that relate to the relation between a Seller and a Buyer regarding Orders on Find Assign will remain in effect even after you deactivate your account, or after your access to Find Assign is disabled.

12. Security Features

Users have the option to enable account security features to protect their account from any unauthorized usage.

Users must be able to verify their account ownership through Customer Support by providing materials that prove ownership of that account.

13. General Terms

13.1 Changes to these Terms

Find Assign may make changes to these Terms from time to time. When these changes are made, Find Assign will make a new copy of the Terms available on the respective page.

You understand and agree that if you use Find Assign after the date on which the Terms have changed, Find Assign will treat your use as acceptance of the updated Terms. Find Assign may change these Terms due to changes in the Site, the Site's policies, the services, and in the usual course of developing our product, changes in any relevant feature or functionality of the Site, changes in circumstances beyond our reasonable control, to adapt to new technologies, and to address changes in law and regulatory requirements as well as security and fraud issues.

13.2 Indemnification

Find Assign reserves the right to handle its legal defense however it deems fit—even if you are indemnifying Find Assign—in which case you agree to cooperate with Find Assign so it can execute its strategy.

13.3 Severability

If any part of the Terms is found to be unenforceable, that part will be limited to the minimum extent necessary so that the Terms will otherwise remain in full force and effect. Find Assign’s failure to enforce any part of the Terms is not a waiver of its right to later enforce that or any other part of the Terms.

13.4 Entire Agreement

Our Terms constitute the entire agreement concerning the subject matter therein, and supersede any other agreement regarding the Site or services.

13.5 Interpretation

Any heading, caption, or section title contained herein, and/or any explanation or summary columns, is provided only for convenience, and in no way alters and/or amends the provisions within the Terms nor shall it legally bind us in any way.

The original language of the Terms is English. Find Assign makes this translation available for convenience only. In case of conflicts between the original English version and any translation, the English version shall prevail.
